Certification Requirements

Around the world, countries require different levels of certification on documentation.

To improve the leveragability of document certification, the hierarchy to be maintained globally is:

  • Countries should automatically accept the global certification, where that is deemed at a higher level than local market. Conversely, documents not certified to the minimum level country requirements cannot be leveraged.
  • Legalization/Consularization will retain its own acceptance in a specific market and therefore cannot be leveraged.

The following is a breakdown of the various levels of certification so that you can better understand what is needed from the various documents. Certification is listed lowest to highest:

Simple copy means any document which is not an original and has no original certification provided. This document can be a photocopy, email or facsimile.

Any authorized individual within the organization as per their legal/empowering documents can certify the document (e.g., Company Secretary, Director, Authorized signatory as per the Board Resolution/Power of Attorney, etc.).

Citi officer, i.e., Client facing contact (e.g., Sales team), who has physically seen the originals and has taken a photocopy certifying the document as a true copy of the original.

Note: Please refer to the country local requirements to further understand if there are any limitations to this definition.

An original document which was prepared within the client's organization (e.g., Board Resolution or Power of Attorney or Citi-issued forms) or issued by the relevant authorities (e.g., Articles of Association/Certificate of Incorporation). Client to provide the original "As Is" i.e., in wet ink signature or seal (whichever is applicable).

Any individual who is not internal to the company and is also recognized as a valid authority in the country where documents are being certified. Details of acceptable individuals in the instructions (e.g., An independent Advocate/Lawyer, An independent Notary Public, etc.).

A Notary Public will be required to witness the original document or signature(s) of the person(s) authorized or required to sign the document and duly certifies the authenticity of the document or signature by an impression of his or her official Notary seal and signature.

Note:

  • Notary seal should be in original wet ink
  • Notary Public seal must be valid at the time Notary seal is applied
  • Please check the validity of the Notary Public seal at the time of submission to Citi

In order for a document to be used in a country other than the one that issued it, its issuance must be authenticated. Different ways to authenticate document include Legalization, Consularization and Apostille. In the case of a Consularization or Legalization, the authenticated documents are then brought to the foreign Embassy or Consulate of the country where the document is to be used for legalization.

For those countries which are party to the Hague Convention of 5 October 1961 Abolishing the Requirement of Legalization for Foreign Public Documents (Apostille Convention), the document authentications by officials in the country where the document is issued culminate with a certificate called an Apostille, issued by the designated government authority in that country. The Apostille is only applicable where both the country where the document was issued and the country where the document is to be used are party to the Apostille Convention.

In order for a document to be used in a country other than the one that issued it, its issuance must be authenticated.
